These Terms & Conditions (“Terms”) govern the relationship between Board North Ltd (“Board North”, “we”, “our”, or “us”) and any client or user (“you” or “your”) engaging with our services. By commissioning work, signing a proposal, or using our digital tools or platforms, you agree to these Terms in full.
1. About Board North
Board North Ltd is a UK-registered company providing CFO-led advisory, data strategy, and AI automation solutions to help organisations improve performance, governance, and alignment.

2. Scope of Services
Board North provides professional consultancy and technology services, which may include (but are not limited to):
- Strategic CFO and financial leadership support
- Business data and performance analytics
- Automation and AI integration
- Operational frameworks (EOS-style and digital operating systems)
- Workshops, training, and project delivery
Each engagement is governed by a separate proposal or Statement of Work (SOW) that sets out the scope, deliverables, and fees. These documents form part of this agreement once approved.
3. Engagement and Responsibilities
3.1 Acceptance of Work
Engagements begin upon written confirmation (including email) or receipt of the first payment.
3.2 Client Responsibilities
You agree to provide timely access to the necessary information, personnel, and systems to enable delivery. Board North is not liable for delays or impacts resulting from unavailable data, feedback, or personnel.
3.3 Delivery
We will deliver all work with reasonable skill and care in accordance with agreed timelines. Timelines may be adjusted if dependencies outside our control affect progress.
4. Course Access and Delivery
4.1 Board North provides live online courses, workshops and digital training material (“Courses”).
4.2 Access is granted only to the named participant and must not be shared, recorded, distributed or used for any other person without written permission.
4.3 Board North may update, amend or improve Course content at any time.
4.4 Board North does not represent that the content is comprehensive or tailored to any specific organisation.
5. Fees and Payment
5.1 Fees
Fees are stated in your approved proposal or project document. Unless otherwise specified, all prices are exclusive of VAT.
5.2 Payment Terms
Invoices are payable within 14 days of issue unless otherwise agreed. Late payments may attract statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998. Course fees must be paid in full at the time of booking, unless otherwise agreed in writing.
5.3 Paid Course Access
Access to a Course may be withheld or withdrawn if payment is not received.
5.3 Expenses
Where applicable, travel and other pre-approved out-of-pocket expenses will be charged at cost.
5.4 Retainers or Subscriptions
Where ongoing services are provided on a retainer or subscription basis, fees renew automatically unless cancelled with 30 days’ written notice before the next billing date.
5.5 Refunds
All fees are non-refundable except as stated in Section 6.
6. Cancellations, Transfers and Refunds
6.1 Participant Cancellations
Course bookings are non-refundable. If you are unable to attend, Board North may, at its discretion, offer a transfer to another date or Course. Transfers are not guaranteed and may be withdrawn at any time.
6.2 Digital Materials
Once digital materials, recordings, templates or online platform content have been accessed, downloaded or viewed, no refund, credit or transfer will be issued for any reason.
6.3 Non-Attendance
Failure to attend a Course for any reason does not entitle you to a refund, credit or transfer.
6.4 Substitutions
You may request to substitute a participant up to 48 hours before the Course begins. Approval is at Board North’s discretion.
7. Board North Cancellations or Changes
7.1 Board North may reschedule or cancel a Course when reasonably necessary. If this occurs, you may choose:
- a place on the rescheduled date, or
- a credit to use against another Course.
7.2. A refund will only be issued if no alternative date is available within 90 days.
7.3. Board North is not responsible for any incidental costs, including travel, accommodation, lost income or time.
8. Confidentiality
Both parties agree to keep all information received during the engagement confidential and use it solely for the purpose of fulfilling their obligations. This obligation continues indefinitely, even after the engagement ends.
9. Intellectual Property
9.1 Ownership
All templates, models, frameworks, data tools, and intellectual property developed or supplied by Board North remain our property unless explicitly transferred in writing.
9.2 Licence of Use
You are granted a non-exclusive, non-transferable licence to use deliverables solely within your organisation for the purpose for which they were created.
9.3 Client Data
All materials and data you provide remain your property. You grant us permission to use such materials only as necessary to deliver the services.
9.4 Course Material
9.4.1 All Course materials, templates, recordings, slides and intellectual property remain the property of Board North.
9.4.2 Participants receive a non-exclusive, non-transferable licence for personal use only.
9.4.3 Materials must not be reproduced, distributed, adapted, or used commercially without written permission.
9.4.4 Courses may be recorded. Attendance constitutes consent to incidental inclusion in recordings.
10. Course Outcomes
Board North delivers Courses based on best practice at the time of delivery. Because each participant’s situation is unique, outcomes may vary. Course fees are for access to training and materials, not guaranteed results.
11. Data Protection
Board North complies with the UK GDPR and Data Protection Act 2018. Depending on the engagement, we may act as either a data controller or data processor. Further details are set out in our [Privacy Policy].
12. Limitation of Liability
12.1 Board North will exercise all reasonable care and skill in delivering services but does not guarantee specific outcomes or financial results.
12.2 To the fullest extent permitted by law, Board North shall not be liable for any indirect, consequential, or economic loss.
12.3 Our total aggregate liability, whether in contract, negligence, or otherwise, will not exceed the total fees paid for the specific engagement giving rise to the claim.
12.4 Courses provide general information only and do not constitute professional advice.
12.5 Board North’s total liability for any claim related to a Course is limited to the amount of the Course fee paid.
12.6 Board North will not be liable for any loss of profits, business interruption, data loss, goodwill, or any indirect or consequential damage.
13. Performance Guarantee
13.1 Guarantee Overview
Board North offers a performance guarantee of a minimum 10% improvement in ROI, provided the Client has fully implemented the Board North Strategy and worked in partnership with Board North for at least twelve (12) consecutive months following implementation.
13.2 Conditions of Guarantee
a. The guarantee applies only where the Client has:
- Engaged with Board North for a minimum of twelve (12) months;
- Fully implemented all recommendations and actions within the most recent version of the Board North Strategy, as signed off by Board North at completion;
- Implemented any AI, automation, data, or process improvements recommended by Board North, as evidenced by Board North through documentation and sign-off.
b. Recommendations may evolve over time as part of our adaptive, data-driven approach. The final version of the Board North Strategy, as signed off by Board North, will form the baseline for assessing performance.
c. The Client must actively engage in the implementation process and maintain reasonable collaboration, data access, and system visibility to enable an accurate assessment of outcomes.
d. ROI will be assessed using the agreed financial or operational metrics defined at project initiation and validated by both parties.
13.3 Exclusions
The guarantee will not apply where:
- The Client has materially altered, delayed, or discontinued implementation of the Board North Strategy;
- External factors outside the Client’s reasonable control (e.g. market shocks, regulatory changes) have materially impacted performance;
- The Client has failed to provide sufficient access or information required to evidence outcomes.
13.4 Remedy
Where all conditions above are met and the ROI improvement of at least 10% has not been achieved, Board North will, at its discretion, consider offering up to a full refund of the fees paid for the relevant engagement, based on its assessment of implementation quality, data integrity, and performance evidence.
14. Termination
Either party may terminate this agreement by giving 30 days’ written notice. We may terminate immediately if payment remains overdue by more than 30 days or if a material breach occurs.
Upon termination, all fees for work completed or committed prior to the termination date will become immediately due and payable.
15. Force Majeure
Neither party will be liable for delays or failures to perform caused by events beyond their reasonable control, including (but not limited to) acts of God, strikes, pandemics, or network outages.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales, and both parties submit to the exclusive jurisdiction of the English courts.
17. General
These Terms, together with any signed proposal or Statement of Work, constitute the entire agreement between the parties.
Any amendment must be made in writing and agreed by both parties.
Failure to enforce any provision shall not constitute a waiver of rights.
If any provision is found unenforceable, the remaining Terms remain in full effect.
